This website (the “Website” or the “Site“) is operated by One Mission (“we“, “us” or “One Mission“), a nonprofit 501(c)3 organization based in Westborough, Massachusetts, which provides programs and services that reduce stress, restore joy, and give children and their loved ones the support they need to get through the daily challenges of pediatric cancer treatment. These Website Terms of Service (“Terms“) apply to “you“, which includes any visitor to the Website, your use of our Website, any transactions with us that reference these Terms, our provision of products or material to you, or any other interactions otherwise described in these Terms, together with any related online or offline services we provide (collectively, the “Services“).

One Mission provides its Services to you subject to the provisions of these Terms. By using this Website or viewing the content herein you accept and agree to be bound by these Terms and the One Mission Privacy Policy.

PLEASE READ THESE TERMS CAREFULLY BEFORE YOU ACCESS OR USE OUR SERVICES. BY USING OUR SERVICES, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, PLEASE DO NOT USE OUR SERVICES OR ACCESS THE WEBSITE. PLEASE SEE SECTION 13 BELOW REGARDING YOUR LEGAL RIGHTS IN ANY DISPUTE INVOLVING OUR SERVICES, INCLUDING MANDATORY ARBITRATION AND A WAIVER OF RIGHTS TO A JURY TRIAL OR CLASS ACTION.

  1. User Registration and Content.

Certain Services and One Mission Content are only accessible by users who have registered with us to obtain usernames and passwords (“Registered Users“). We treat anyone who uses your username and password as “you”. We will provide this Registered User with all of the rights and privileges that we provide to you as a Registered User, and we will hold you responsible for activities associated with your username and password. You should maintain your username and password in confidence, and refrain from disclosing this information to anyone who is not permitted to access the Website and Services on your behalf. Please notify us immediately if you suspect that someone is using your username and password in an inappropriate or unauthorized manner.

You represent that at all relevant times you own all necessary rights in and to any content uploaded, developed or provided by you, or imported, connected, copied or uploaded through our Services (“User Content”), including any text, images, videos, audio, or other content or media, as necessary for us to legally access, copy, use, publish, transfer and license such User Content in the provision of the Services and for other purposes provided under these Terms. You further represent that you have obtained all third-party consents and permissions required under applicable laws for our collection, processing, storing, posting and transmission of any personal information and/or image or likeness of any person, entity or property in the User Content. We do not claim ownership rights to any of your User Content, but you hereby grant us a non-exclusive, fully paid and royalty-free, transferable, sub-licensable, worldwide license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any User Content or other information that you send to us through the Services in accordance with these Terms and our Privacy Policy.

  1. One Mission Ownership; Reservation of Rights.

One Mission with its licensors owns all of the content that is available on this Website, including but not limited to visual interfaces, interactive features, graphics, scripts, photo, sounds, music, videos, design, compilation, computer code, products, software, text, aggregate user review ratings, and all other elements and components of the Website, including any information you provide to us (collectively, “One Mission Content“). One Mission with its licensors also owns or has the license for the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world associated with the One Mission Content and the Website, which are protected by copyright, trade dress, patent, trademark laws and all other applicable intellectual and proprietary rights and laws or are used under principles of “fair use”. As between the parties, One Mission and its licensors retain all rights with respect to the Services (including, but not limited to, the Site) and One Mission Content except those expressly granted to you in these Terms. You agree not to duplicate, publish, display, distribute, modify, or create derivative works from the One Mission Content or other material available through the Website or Services unless we specifically authorize you in writing to do so.  All rights in and to the Website and the One Mission Content are retained by One Mission.

Except as expressly provided herein, we and our licensors reserve all rights with respect to the Website, Services and One Mission Content, and may pursue all legally available options under both civil and criminal laws (and may cooperate with law enforcement agencies) in the event of any violations, including but not limited to the right to terminate accounts of any user who has infringed any intellectual property or proprietary rights.

You agree not to: (a) decompile, reverse engineer, disassemble, modify, reduce the Services to human readable form or create derivative works based upon the Services or any part thereof; (b) disable any licensing or control features of the Services; (c) introduce into the Services any virus or other code or routine intended to disrupt or damage the Services, or alter, damage or delete any One Mission Content, or retrieve or record information about the Services or its users; (d) merge the Services or One Mission Content with another program or create derivative works based on the Services or One Mission Content; (e) remove, obscure, or alter any notice of the copyright or other proprietary legends on the Services or One Mission Content; (f) sublicense, assign, translate, rent, lease, lend, resell for profit, distribute or otherwise assign or transfer the One Mission Content or access to the Services to others; (g) use, or allow the use of, the Services or One Mission Content in violation of any applicable laws or regulations; (h) otherwise act in a fraudulent, illegal, misleading, malicious or negligent manner when using the Services; (i) post violent, defamatory, indecent, sexually explicit, discriminatory, unlawful, infringing, hateful or other inappropriate photos or other content, including any posts intended for defaming, stalking, bullying, abusing, harassing, threatening, impersonating, harming, impersonating or intimidating people or entities; (j) create, solicit, transmit, or procure the sending of, any unwanted, unsolicited or harassing comments or communications, including advertising or promotional material, without our prior written consent, including any “junk mail,” “chain letter,” “spam” or any other similar solicitation; (k) access or use the Services by means of any automated program, expert system, electronic agent or “bot”; (l) give any other person or entity unauthorized access to the Services; or (m) scrape, copy, republish, license, or sell the information or One Mission Content on the Services.

  1. Commercial Use

Except as explicitly provided in these Terms or with prior written consent from us, you agree not to store in any form, distribute, transmit, display, reproduce, modify, create derivative works from, sell or otherwise exploit any of the One Mission Content or any portion of this Website and its contents for any commercial purpose. You may display and occasionally print a single copy of pages of One Mission for your personal, non-commercial use, but you may not otherwise reproduce any material appearing on this Website without our prior written consent. Except as provided under Section 4 (Use of Our Logos), you may not use our name nor any misspelling or typographical variation of One Mission or our other logos and identities, whether alone or in conjunction with any other word or phrase, trademarks or service marks in any manner (including use in any metatags or any other “hidden text”) without our prior written or e-mailed consent. Any violation of the foregoing will terminate the permission and license granted by us to access and make use of this Website.

  1. Use of our Logos

Trademarks and service marks that may be referred to on the Website, Services, or found in the One Mission Content are the property of One Mission or their respective owners. Nothing in these Terms should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark without our written permission. Except as required under this Section, the names and logos used by One Mission may not be used in any way, including in advertising or publicity pertaining to distribution of One Mission Content, without prior written permission. You are permitted, under a limited license granted by One Mission, to copy and download One Mission trademarks and logos for the sole and express purpose of supporting and promoting in a non-commercial way your individual involvement with, or donation to, One Mission, or to encourage others to do so.

However, by using these logos in any way, you agree to abide to certain terms and conditions of use, specifically that:

  1. you will not modify these elements in any way except in terms of sizing, for instance, you cannot change colors or typeface, nor can you add any new information, text or images to these logos;
  2. you will not place any other logos too close to our logos, such that this might be interpreted that our logos are owned or part of any other organization or program, and;
  3. you will use these logos in any way to sell items. In other words, you may not use our information or logos for any commercial gain or in concert with product or service offers without the express written permission of One Mission.

Questions regarding the use or modifications of the One Mission branded elements shall be directed to One Mission at info@onemission.org. One Mission reserves the right to terminate rights to use its branded identities at any time and without notice. You may only use them under the terms outlined on the Website and/or here. The logos of our partners and sponsors, which may also be displayed on our Website, are not our property and appear on our Website with the permission of these organizations. You may not copy, duplicate, or use any of these logos without the express written permission of these organizations.

  1. Copyright Policy

You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is One Mission’s policy to terminate access to our website, and privileges thereto, of any Website visitor or Registered User who repeatedly infringes the copyright rights of others upon receipt of proper notification to One Mission by the copyright owner or the copyright owner’s legal agent, however One Mission is under no obligation to independently monitor the actions and use of Website visitors or Registered Users. You may link to our Website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.   1. Donations Made Through Our Website to One Mission

You acknowledge that, should you decide to make donations with us, you may be using services provided by third-party providers such as independent payment processers, and you agree to be bound by the terms and conditions and privacy policies of these payment processors when making donations to us, as applicable.

  1. Warranty Disclaimers

We may update the content in our Services and One Mission Content from time to time, but it will not necessarily be complete or up-to-date. You acknowledge that we may not always identify promoted services or content, or commercial communications as such. Although it is our intention for the Services to be available as much as possible, there may be occasions when the Services may be interrupted, including, without limitation, for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications links and/or equipment. We may remove any content from the Services for any reason, without prior notice.

The provisions in these Terms are intended to be only as broad and inclusive as is permitted by the laws of your state of residence. We reserve all rights, defenses and permissible limitations under the law of your state of residence.

  1. Indemnification

You agree that you will be responsible for any damages resulting from any violation of these Terms. You further agree to defend, indemnify and hold One Mission, and its owners, affiliates, officers, directors, agents and employees, contributors, and partners harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms, or any violation of any law or the rights of any third party that occurs in connection with your use of One Mission’s Website, Services, or One Mission Content.

  1. Choice of Law and Forum; Jury Waiver and Class Action Waiver

These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, excluding conflicts of law rules. YOU AGREE THAT, UNLESS EXPRESSLY WAIVED BY US, THE EXCLUSIVE JURISDICTION FOR ANY CLAIM OR ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THIS WEBSITE, SERVICES, AND ONE MISSION CONTENT SHALL BE IN THE STATE OR FEDERAL COURTS LOCATED IN THE STATE OF MASSACHUSETTS, AND YOU FURTHER AGREE AND SUBMIT TO THE EXERCISE OF PERSONAL JURISDICTION OF SUCH COURTS FOR THE PURPOSE OF LITIGATING ANY SUCH CLAIM OR ACTION. You agree to receive service of process through e-mail, certified mail or by other means sanctioned by law, and you expressly waive any claim of improper venue and any claim that such courts are an inconvenient forum. You also agree that in the event of any action to enforce or interpret these Terms, the prevailing party shall be entitled to collect its reasonable attorney fees. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Transaction Act (UCITA) are expressly excluded from these Terms.

The parties shall use their best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations, which shall be a precondition to you initiating any legal action against us.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL IN ANY JUDICIAL PROCEEDING. IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, YOU AGREE THAT EACH PARTY TO A DISPUTE HEREUNDER MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and we agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.

  1. Modification and Severability

One Mission reserves the right to make changes to these Terms and our other legal notices at any time by updating the Effective Date on the bottom of these Terms. By continuing to use this Website, Services, or One Mission Content following our posting of such changes, you agree to be bound by these Terms as modified. We may change, restrict access to, suspend or discontinue this Website, the Services, the One Mission Content, or any portion of thereof, at any time.

  1. Miscellaneous

One Mission and you are independent entities, and nothing in these Terms, or via use of the Website or Services will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between One Mission and you. Any rights and licenses granted under these Terms, may not be transferred or assigned by you, but may be assigned by One Mission without restriction. If any provision of these Terms shall be deemed invalid, void or for any other reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the balance of these Terms. The failure of One Mission to exercise or enforce any right or provision of this Terms shall not operate as a waiver of such right or provision. The section titles in this Terms are for convenience only and have no legal or contractual effect. This Terms operates to the fullest extent permissible by law.

Our Services are intended for use in the United States. We make no representation that content or materials in the Services are appropriate or available for use in other jurisdictions outside the United States. Access to any of the Services from jurisdictions where such access is illegal is strictly prohibited. If you choose to access the Services from other jurisdictions, you do so at your own risk.
